Introduction and Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“Client”), and SynapSeer regarding access to and use of SynapSeer’s Artificial Intelligence Agents and automation services (the “Service”).
By accessing or using the Service, including browsing the website and initiating contact, you agree to be bound by all of these Terms. If you do not agree with all these Terms, the use of the Service is expressly prohibited.
Key Service Definitions
Service: The platform of software as a service (SaaS) that provides SynapSeer, including conversational AI Agents and process automation solutions.
AI Agent: The custom conversational software system developed by the Provider that interacts with the Client’s end-users (e.g., hotel calls, WhatsApp chats).
Client Content: All data, information, documents, and materials supplied by the Client to the Provider for customizing and training the AI Agent.
Provider Intellectual Property (IP): The source code, base language models, design, brand, and any underlying software owned by SynapSeer.
Scope of Website Use and Contact
Website Purpose: The SynapSeer website is primarily intended to provide information about our services and facilitate communication for prospective Client engagements. No products or services are directly sold or transacted on this website.
No Warranties on Site Content: While we strive for accuracy, SynapSeer does not guarantee that the information on the site is always complete or current.
Grant of Usage License (Service Model)
License: Once a separate Service Agreement is signed, SynapSeer grants the Client a limited, non-exclusive, and non-transferable license to access and use the Service solely for the Client’s internal business operations during the subscription contract term.
Restrictions: The Client agrees not to: * Sell, resell, lease, or transfer the AI Agent to third parties. * Attempt to obtain the source code, decompile, or reverse engineer the AI Agent software. * Use the Service for unlawful purposes.
Provider IP: SynapSeer is the sole owner of all intellectual property rights, title, and interest in the Service, including the software, technology, and brand.
Client Obligations and Responsibility
Client Content: The Client is solely responsible for the accuracy, quality, legality, and usage rights of the Client Content provided for training the AI Agent.
Use of Communication Channels: Any communication initiated by the Client (via email or contact form) must be accurate and truthful.
Payment and Billing Terms
Fees: Applicable fees for the Service will be governed exclusively by the terms set forth in the separate, executed Subscription Agreement or Service Order between the Client and SynapSeer.
Fee Modifications: The Provider reserves the right to modify its service fees with 30 days’ prior written notice to the Client.
Service Level Agreement (SLA)
Availability: Service availability and technical support will be governed by the specific Service Level Agreement (SLA) included in the Client’s separate Subscription Agreement.
Limitation of Liability (Critical Clause)
Maximum Limitation: THE PROVIDER’S TOTAL AND CUMULATIVE LIABILITY TO THE CLIENT FOR ANY CAUSE OR CLAIM ARISING OUT OF THESE TERMS OR USE OF THE SERVICE SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY THE CLIENT TO SYNAPSEER IN THE SIX (6) MONTHS PRECEDING THE DATE THE CLAIM AROSE.
Exclusion of Damages: IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. THE CLIENT ASSUMES THE RISK THAT THE INFORMATION GENERATED BY THE AI AGENT MAY NOT BE ACCURATE OR COMPLETE.
Term and Termination
Termination for Breach: The Provider may suspend or terminate the Client’s access to the Service immediately upon material breach of the Subscription Agreement.
Post-Termination Data Handling: Upon termination, the Provider shall provide the Client with a copy of the Client Content and subsequently delete it from its servers within 90 days.
Governing Law and Jurisdiction
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Mexico.
Jurisdiction: Any dispute shall be submitted to the exclusive jurisdiction of the competent courts in Zapopan, Jalisco, Mexico.
